1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and LawMillion ("LawMillion", "we", "our", "us") governing your access to and use of the website located at https://www.lawmillion.com/ and all related services (collectively, the "Platform").

By accessing, browsing, registering, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.

Effective Date: April 21, 2026

2. Eligibility

To use LawMillion, you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into binding contracts under the laws of your jurisdiction.
• Not be prohibited from using the Platform under applicable US, state, or international law.
• For attorneys: hold a valid, active license to practice law in at least one US jurisdiction and be in good standing with the relevant state bar.

If you are using the Platform on behalf of an organization, law firm, or business entity, you represent that you have authority to bind that entity to these Terms.

3. No Legal Advice — LawMillion Is Not a Law Firm

• Content on the Platform — including blog posts, legal guides, practice area descriptions, and FAQs — is for general informational purposes only and is not a substitute for advice from a licensed attorney.
• Communications through the Platform (contact forms, messages, consultation requests) do not create an attorney-client relationship with LawMillion.
• An attorney-client relationship with an individual attorney listed on the Platform is formed only when that attorney and you execute a written engagement agreement.
• Until such formal engagement, your communications are not protected by attorney-client privilege and should not contain confidential or privileged information.
• LawMillion does not endorse, recommend, or guarantee the services, competence, or outcomes of any attorney listed.

4. Account Registration

Some features require account registration. When you register, you agree to:

• Provide accurate, current, and complete information.
• Maintain and promptly update your account information.
• Keep your password confidential and secure.
• Notify us immediately of any unauthorized access or security breach.
• Accept responsibility for all activities occurring under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

5. Terms for Clients (Legal Service Seekers)

If you use the Platform to find an attorney:

• You may submit consultation requests which will be forwarded to attorneys matching your criteria.
• Submission of a consultation request does not guarantee an attorney will respond or accept your case.
• You are responsible for independently verifying an attorney's credentials, fees, and suitability before engaging their services.
• Any legal representation agreement, fee structure, and engagement terms are solely between you and the attorney.
• LawMillion is not a party to the attorney-client relationship and bears no responsibility for the quality, outcome, or billing of legal services provided.
• Use of LawMillion for finding attorneys is free to Clients. No fees are charged to Clients for consultation requests.

6. Terms for Attorneys (Professional Users)

Attorneys and law firms who list on LawMillion agree to additional terms:

6.1 Licensing & Good Standing

• You represent and warrant that you hold a valid, current license to practice law in the jurisdiction(s) listed on your profile.
• You must promptly notify us of any suspension, disbarment, disciplinary action, or change in licensure status.
• You agree to provide bar number and state of admission for verification.

6.2 Profile Accuracy

• All information on your profile — including biography, practice areas, years of experience, case results, and credentials — must be truthful, accurate, and verifiable.
• You must comply with all applicable rules of professional conduct and bar advertising regulations in your jurisdiction.
• Testimonials, endorsements, and case results must comply with your state bar's advertising rules. Some states prohibit or restrict certain endorsements.

6.3 Client Communications

• You agree to respond to consultation requests in a professional and timely manner, typically within 48 hours.
• You may decline representation in any matter at your discretion, but must not discriminate based on race, color, religion, national origin, sex, disability, or other protected classes.
• You are solely responsible for conducting conflict checks before accepting any engagement.

6.4 Ethical Compliance

• You acknowledge that in some jurisdictions, lead-generation or referral services may be subject to specific bar rules. You are solely responsible for ensuring your use of LawMillion complies with the rules of every jurisdiction in which you are licensed.
• If your state bar prohibits participation in lead-referral services or imposes fee-sharing restrictions, you must not use the Platform.

7. Reviews & User-Generated Content

Users may submit reviews, ratings, comments, and other content ("User Content"). By submitting User Content, you:

• Grant LawMillion a perpetual, worldwide, royalty-free, transferable license to use, display, reproduce, modify, and distribute the content on the Platform and in marketing materials.
• Represent that the content is truthful, based on your genuine experience, and does not violate any law or third-party right.
• Agree not to submit false, defamatory, harassing, or misleading content.
• Understand that LawMillion may (but is not obligated to) moderate, edit, or remove content at its sole discretion.

LawMillion does not endorse User Content and is not liable for statements made by users.

8. Prohibited Conduct

You agree NOT to:

• Use the Platform for any illegal, fraudulent, or unauthorized purpose.
• Impersonate any person, attorney, or entity, or misrepresent your affiliation.
• Submit false reviews, fake consultation requests, or fabricated testimonials.
• Scrape, harvest, or extract data from the Platform without written permission.
• Use automated systems (bots, spiders, crawlers) except for publicly indexed search-engine crawlers.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Platform, servers, or networks.
• Upload viruses, malware, or any malicious code.
• Attempt to reverse-engineer or decompile any part of the Platform.
• Send unsolicited communications, spam, or commercial advertising to other users.
• Use the Platform to unlawfully practice law, solicit clients outside your licensed jurisdictions, or engage in unauthorized practice of law.
• Post content that is defamatory, obscene, hateful, threatening, or infringes intellectual property rights.

9. Fees & Payment

9.1 Clients

Use of LawMillion to search for and contact attorneys is free for Clients. Any legal fees charged by attorneys are negotiated directly between the Client and the attorney.

9.2 Attorneys

• LawMillion offers free basic profile listings as well as paid premium subscription plans with enhanced features.
• Subscription fees, billing cycles, and plan features are disclosed at the time of purchase.
• Fees are non-refundable except as expressly provided or required by law.
• We reserve the right to modify pricing with 30 days' advance notice to existing subscribers.
• You authorize us to charge your payment method for all applicable fees.

9.3 Taxes

All fees are exclusive of applicable taxes. You are responsible for any sales tax, VAT, or other taxes imposed on your use of paid services.

10. Intellectual Property

The Platform and its original content (excluding User Content) — including design, text, graphics, logos, icons, software, and the "LawMillion" name and marks — are the exclusive property of LawMillion and its licensors, protected by US and international copyright, trademark, and other intellectual property laws.

• You may not copy, reproduce, modify, distribute, publicly display, or create derivative works without our prior written consent.
• You retain ownership of the User Content you submit, but grant us the license described in Section 7.
• Any feedback, suggestions, or ideas you provide may be used by LawMillion without compensation or attribution.

11. Disclaimers & Warranties

To the fullest extent permitted by law, LawMillion disclaims all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Warranties that the Platform will be uninterrupted, secure, error-free, or virus-free.
• Warranties regarding the accuracy, completeness, or reliability of attorney profiles, reviews, or content.
• Warranties regarding the outcome of any legal matter or the quality of services provided by any attorney.

We do not guarantee that any attorney listed will accept your case, provide competent services, or produce favorable outcomes.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LAWMILLION AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless LawMillion, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Platform.
• Your violation of these Terms.
• Your violation of any third-party right, including intellectual property, privacy, or publicity rights.
• Your User Content.
• For attorneys: any legal malpractice claim, ethics violation, or disciplinary proceeding arising from your services to clients.

14. Dispute Resolution & Binding Arbitration

14.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@lawmillion.com to attempt informal resolution. Most concerns can be resolved quickly this way.

14.2 Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Platform shall be resolved through final and binding arbitration, not in court, conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

• Arbitration shall take place in Delaware (or your state of residence if you are a consumer), or remotely by mutual agreement.
• The arbitrator's decision is final and enforceable in any court of competent jurisdiction.
• Each party shall bear its own costs, except as awarded by the arbitrator.

14.3 Class Action Waiver

You and LawMillion agree that disputes will be resolved on an individual basis only. You waive the right to participate in any class action, collective action, or representative proceeding.

14.4 Exceptions

Either party may seek injunctive or equitable relief in court to protect intellectual property rights or confidential information. Small claims court actions are not subject to arbitration.

15. Termination

We reserve the right to suspend or terminate your access to the Platform, with or without notice, at our sole discretion, for any reason including (but not limited to) violation of these Terms, fraud, abuse, or non-payment.

You may close your account at any time by contacting support@lawmillion.com. Upon termination, your right to use the Platform ceases immediately, but sections that by their nature should survive (liability, indemnification, dispute resolution, IP) will remain in effect.

16. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Subject to the arbitration provisions above, the state and federal courts located in Delaware shall have exclusive jurisdiction over any non-arbitrable disputes.

17. Changes to These Terms

We may revise these Terms at any time by posting an updated version on the Platform. Material changes will be announced via email or prominent notice on the site. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

19. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and LawMillion.
• Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
• Waiver: Our failure to enforce any right does not constitute a waiver.
• Assignment: You may not assign these Terms without our prior written consent. We may assign freely.
• Force Majeure: Neither party is liable for delays caused by events beyond reasonable control (natural disasters, war, cyberattacks, etc.).
• Headings: Section headings are for convenience only and do not affect interpretation.
